Quotations and project agreements

Every project is quoted individually. After reviewing your requirements, we send a written quotation describing the scope, deliverables, estimated timeline and price. A project begins only after you accept the quotation in writing (the "project agreement"). If a project agreement differs from these Terms, the project agreement applies to that project.

Payment

Unless your project agreement states otherwise:

• 50% of the project price is payable as a deposit before work begins.
• The remaining 50% is payable on delivery of the completed work.
• Invoices state the amount, currency and accepted payment methods.

We may pause work if a payment is overdue, and we will tell you before doing so.

Changes to the scope

If you request changes beyond the agreed scope, we will tell you how they affect the price and timeline. Changes are carried out only after you approve them in writing.

SEO, marketing and AI services

Search engine rankings, website traffic, leads and sales depend on factors outside our control, such as search engine algorithms, advertising platforms, competition and your market. We do not guarantee specific rankings, traffic, leads or sales. We agree measurable goals with you and report on them honestly.

AI features rely on third-party services and can produce inaccurate or unexpected output. Where accuracy matters, AI output should be reviewed by a person before it is relied on.

Third-party services

Some services use third-party platforms, such as hosting providers, app stores, Google, Meta and AI providers. Their own terms and fees apply, and they may change their services or prices. We are not responsible for the availability or actions of these platforms. Samir LLC is not affiliated with these providers unless we state otherwise.

Your responsibilities

You agree to provide accurate information, timely feedback and any content, access or materials needed for the project, and to make sure you have the right to use any materials you give us.

Ownership of work

When you have paid all amounts due for a project, ownership of the custom work and source code we deliver for that project transfers to you. Third-party and open-source components included in the work remain subject to their own licenses. Until full payment, we retain ownership of the work. The content and design of this website belong to Samir LLC.

Refunds and cancellations

Refunds and cancellations are handled under our Refund and Cancellation Policy.

Limitation of liability

To the fullest extent permitted by law:

• our total liability arising from any project is limited to the total amount you paid us for that project; and
• we are not liable for indirect, incidental or consequential losses, such as lost profits, lost data or business interruption.

Nothing in these Terms limits liability that cannot be limited by law.

Disputes

If a dispute arises, both parties will first try in good faith to resolve it by negotiation for 30 days after one party notifies the other in writing. If it is not resolved within that time, either party may bring the dispute before the state or federal courts of competent jurisdiction in the U.S. state in which Samir LLC is registered, and both parties consent to the jurisdiction of those courts.

Governing law

These Terms are governed by the laws of the U.S. state in which Samir LLC is registered and applicable federal laws of the United States, without regard to conflict-of-laws rules.

Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page shows when they last changed. Changes do not affect project agreements already signed.
